Specialized Valuation & Advisory Services

For many privately held businesses, a formal Conclusion of Value or Calculation of Value can be determined at the advertised base rate. The deliverable is a comprehensive report prepared using generally accepted valuation methodologies and the information provided by the client. The report documents the analyses performed and the resulting indication of value.

Some engagements involve additional complexities that require a broader scope of work than is included in the advertised base fee. These services may be necessary to evaluate alternative assumptions, analyze complex capital structures, support litigation or tax matters, or assist with specialized transactions. Additional fees may apply depending on the nature and extent of the work required.

Examples of engagements that may require an expanded scope of work are outlined below.

Strategic Scenario Modeling

Provides advanced financial modeling and scenario analysis to evaluate how changes in operations, structure, or assumptions may impact value. This may include refined normalization adjustments, pro forma projections, and sensitivity analyses to support strategic planning or negotiation objectives.  It may also include additional evaluation of the assumptions and methodologies applied in the initial valuation based on newly available information or alternative scenarios.

Transactional Support

Advisory services related to business sales, mergers, acquisitions, ownership transitions, and other strategic transactions. This may include pricing guidance, deal structuring considerations, financial positioning, transaction-related financial analyses, and assistance with transaction-related valuation and financial reporting requirements, as appropriate.

Litigation & Dispute Engagements

For matters involving litigation or dispute resolution, BRACCV provides ongoing valuation consulting and expert support beyond the initial valuation report. Services may include consultation with counsel, analysis and documentation of valuation assumptions, preparation of court-ready exhibits, case development, deposition preparation, expert witness testimony, and other litigation support as required.

Capital Structure & Equity Allocation Analysis

For companies with multiple classes of equity, preferred stock, stock options, warrants, convertible securities, or other complex ownership arrangements, additional analysis may be required to allocate enterprise or equity value among the various security holders. This service includes capitalization table analysis and the application of appropriate equity allocation methodologies, such as option pricing models, waterfall analyses, and other accepted valuation techniques, as appropriate. Pricing is determined based on the complexity of the capital structure and the scope of analysis required.

Independent Technical Review & Fairness Support

Certain transactions, financing events, or governance requirements may benefit from an additional level of independent technical review. When appropriate, BRACCV coordinates with a network of experienced valuation professionals to provide independent technical reviews, specialized valuation support, fairness opinion support, and additional analytical expertise for complex valuation engagements. The scope of services is tailored to the requirements of each assignment and quoted separately based on the complexity of the engagement.

Specialized Asset Appraisals

For asset-intensive businesses, the fair market value of certain assets may have a significant impact on the overall valuation. When appropriate, qualified third-party appraisal specialists are engaged to determine the fair market value of real estate, machinery and equipment, intangible assets, or other specialized assets. By collaborating with experts in their respective disciplines, BRACCV combines independent asset appraisals with its expertise in financial statement analysis, normalization, and the valuation of the remaining assets and liabilities to provide a more credible and defensible conclusion of value.

The scope of work, fees, timeline, and expected deliverables will be discussed and agreed upon before any specialized services are performed. Base-priced valuation engagements are typically completed within one week after all requested information has been received.
